TERMS AND CONDITIONS OF SALE

Edge Clinical Solutions Limited (“ECS”, “we”, “us”, or “our”) provides clinical assessment tools, training materials, and related services. By purchasing products from us, you (“Customer” or “you”) agree to be bound by these Terms and Conditions.

1. PRODUCT ELIGIBILITY & QUALIFICATION CHECK

1.1 Restricted Sale Policy:

Many products sold by ECS (including but not limited to Wechsler Intelligence Scales, Bayley Scales, and ABAS) are Restricted Clinical Tools. These items are available for purchase and use only by qualified professionals.

1.2 Verification Process:

  • Individual Buyers: You must provide proof of user eligibility and/or current registration with a recognized professional body (e.g., The Hong Kong Psychological Society (HKPS), The Hong Kong Association of Educational Psychologists (HKAEP), The Hong Kong Institute of Clinical Psychologists (HKICP) or equivalent).
  • Organizational Buyers: Orders must be placed by an authorized representative of the organization with relevant user eligibility and/or current registration with a recognized professional body.

1.3 Right to Cancel:

ECS reserves the right to withhold shipment and cancel any order if verification of qualification cannot be established to our satisfaction. In such cases, a full refund will be issued, less an administrative fee of HKD 100 or 5% of the total purchase amount (whichever is more) if the attempted purchase was made in bad faith.

2. ORDERS AND PAYMENT

2.1 Currency: All prices are listed and payable in Hong Kong Dollars (HKD).

2.2 Payment Terms (All Buyers): Full payment is required to confirm an order for all customers, including both Individual and Organizational Buyers.

  • Order Confirmation: An order is officially confirmed only upon receipt of the full payment in cleared funds.
  • Shipment Release: Goods will only be released for shipment or delivery instructions after the order is confirmed (i.e., payment is settled).
  • Payment Methods: For Organizational Buyers, payment may be settled via Bank Transfer or Cheque, but the order will remain in “Pending” status until the funds are successfully received by ECS.
  • Special Arrangements: Notwithstanding the above, any alternative payment terms or credit arrangements must be requested in writing and are subject to prior written approval by ECS. Please contact our sales team at info@edgecs.org for further inquiries.

2.3 Pricing: Prices are subject to change without notice. ECS honors the price listed at the time of order confirmation. For the avoidance of doubt, the price is only locked once full payment is received

3. SHIPPING AND DELIVERY 

3.1 Delivery Timelines:

(a) King-May Products: As the authorized primary distributor in Hong Kong, ECS offers expedited processing for King-May brand products. The standard delivery time is 3 business days from the date of order confirmation.

(b) Other Products: For products from all other suppliers, the estimated delivery time is 14 -21 business days unless otherwise specified on the product page.

(c) General Disclaimer: All delivery times stated above are estimates only and do not constitute a legal guarantee. ECS shall not be held liable for any delays arising from customs clearance, cross-border logistics, carrier delays, or any force majeure events beyond our reasonable control.

4. INSPECTION AND ACCEPTANCE

4.1 Inspection Period:

You must inspect the goods immediately upon receipt.

4.2 Reporting Defects:

If an item is damaged, defective, or if there is a discrepancy in quantity, you must notify ECS in writing at info@edgecs.org within three (3) working days of delivery (inclusive of the day of arrival).

4.3 Deemed Acceptance:

If no notification is received within three (3) working days, the products shall be deemed accepted in good condition, and no subsequent claims for missing items or physical damage will be entertained.

5. RETURNS AND REFUNDS

5.1 No Returns:

All sales are final. We do not accept returns or offer refunds for “change of mind.”

5.2 Defective Items:

Defective software (USB dongles) or misprinted manuals will be exchanged 1-for-1. Please contact us for detailed procedures before sending any items back. The customer is responsible for the delivery cost of returning the goods to the warehouse. 

6. DATA PRIVACY & CROSS-BORDER TRANSFER

6.1 Purpose of Data Collection:

We collect your personal data (Name, Delivery Address, Phone Number, Professional Credentials) to process your order and verify your eligibility.

6.2 Consent to Transfer:

By placing an order, you explicitly consent to ECS transferring your delivery details (Name, Address, Phone) and professional credentials to our Publisher partner(s) solely for the purpose of fulfilling the shipment.

6.3 Data Security:

ECS ensures that our partners adhere to strict data security standards compliant with both the Hong Kong Personal Data (Privacy) Ordinance (PDPO) and relevant mainland/foreign regulations.

7. INTELLECTUAL PROPERTY & COPYRIGHT

7.1 Ownership & License:

All assessment tools, record forms, and manuals are the intellectual property of the Publisher and are protected by international copyright laws. Purchasing a tool grants you a limited license to use the materials in your professional practice; it does not transfer ownership of the underlying intellectual property.

7.2 Strict Prohibition on Reproduction:

Unlawful reproduction of any kind is strictly prohibited. This includes but is not limited to:

  • Photocopying record forms or manuals.
  • Phototaking or scanning materials into digital formats (PDF, JPG, etc.).
  • Uploading any part of the materials to the internet, cloud storage, or AI platforms.

7.3 Legal Compliance:

You agree to strictly comply with all relevant intellectual property laws. Any violation of these terms may result in immediate termination of your user privileges and legal action by the Publisher.

8. PROFESSIONAL CUSTODY, RESALE & INDEMNITY

8.1 Custodian Responsibility:

You acknowledge that you are the custodian of these Restricted Clinical Tools. You assume full responsibility for preventing their release into the public domain and ensuring they are stored securely when not in use.

8.2 Prohibition on Resale and Transfer:

The Restricted Clinical Tools purchased from ECS are intended solely for use by the qualified professional or qualified professional(s) employed by the verified organization identified at the time of purchase. Reselling, transferring, loaning, or otherwise distributing these materials to unqualified personnel, third-party retailers, second-hand markets, or unauthorized entities is strictly prohibited.

8.3 Buyer Indemnity:

ECS bears no liability for the Customer’s professional conduct or management of these materials. You agree to indemnify and hold ECS harmless against any claims arising from:

  • Any leak of restricted clinical materials resulting from your failure to secure them.
  • Any copyright infringement caused by your unauthorized reproduction or distribution.
  • Any improper deeds, negligence, or malpractice committed by you or your staff using these tools.

8.4 Right to Report:

ECS reserves the right to report any suspected breach of professional conduct, copyright infringement, or resale restrictions to the publisher, relevant professional bodies (e.g., HKPS, HKAEP, HKICP) and legal authorities.

9. LIMITATION OF LIABILITY

9.1 Professional Use:

ECS supplies tools on the basis that they will be used by qualified professionals in accordance with ethical guidelines. ECS accepts no liability for the misuse, misinterpretation, or misapplication of test results by the Customer.

9.2 Liability Cap:

To the extent permitted by law, ECS’s total liability for any claim arising out of this agreement shall not exceed the purchase price of the product paid by the Customer.

10. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
